1. Rights Associated with the Service
The Service is designed to help you find articles, publications, information and other content (the "content") that resides on sites not owned or controlled by Sequitur News. In particular, the Service displays excerpts of the content and provides brief descriptions of the content to help you identify the items of interest to you. When you select an item, you will be linked to the site on which that content appears. Sequitur News owns and retains all intellectual property rights to the Service. The software running the Service, the site design, the logos and other graphics, articles and other texts published by us as well as the database are protected by copyright and are property of Sequitur News or other third parties. Sequitur News does not claim ownership rights to the full content or to excerpts of third party content, which are instead held by the sites to which the Service links. Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law.
2. Use of the Service
You may only display the content for your own personal use (i.e., non-commercial use) and may not otherwise copy, reproduce, alter, modify, create derivative works, or publicly display any content. For example, you may not use the Service to sell a product or service; use the Service to increase traffic to your web site for commercial reasons, such as advertising sales; take the results from the Service and reformat and display them, or use any robot, spider, other device or manual process to monitor or copy any content from the Service. Do not misuse our Services for purposes or by means for which it was not intended. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law. If you are uncertain whether your intended use of the Service is permissible, please contact us. In addition, Sequitur News shall have the right in its sole discretion to suspend or terminate the Service or your access to it. If you are using our Services on behalf of a business, that business accepts these terms. By using the Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 13 years of age or older; (d) your use of the Services does not violate any applicable law or regulation. Your profile may be deleted and your membership may be terminated without warning, if we believe that you are under 13 years of age or if we believe that registration information is not truthful or accurate. In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.
3. Modifications of Terms
We have the right to modify these terms at any time. We will notify users at least a week in advance before new Terms of Service go into effect. These terms may also be modified by separate agreement between you and Sequitur News.
4. Our Warranties and Disclaimers
We do our best to provide our Services and we hope that you will enjoy using them. But our Services are currently in beta mode, and there are certain things that we don’t promise about our Services. OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER SEQUITUR NEWS NOR ITS SUPPLIERS OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES "AS IS". SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
5. Liability for our Services
WHEN PERMITTED BY LAW, SEQUITUR NEWS, AND SEQUITUR NEWS’ SUPPLIERS AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SEQUITUR NEWS, AND ITS SUPPLIERS AND DISTRIBUTORS, FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN). IN ALL CASES, SEQUITUR NEWS, AND ITS SUPPLIERS AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
6. Indemnification
You will hold harmless and indemnify Sequitur News and its affiliates, members, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.
7. Miscellaneous
If any provision of these terms is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. Our failure to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision. This agreement shall be interpreted in accordance with the laws of the State of Illinois without regard to its conflicts of law rules. All claims arising out of or relating to these terms or the Services will be litigated exclusively in the federal or state courts of Cook County, Illinois, USA,and you and Sequitur News consent to personal jurisdiction in those courts.
